End User License Agreement | Roost Strategies

This End User License Agreement (“Agreement” or “EULA”) is a legally binding contract between you (“Member,” “you,” or “your”) and Byrd Coaching LLC, doing business as Roost Strategies (“Licensor,” “we,” “us,” or “our”). It governs your access to and use of all content, materials, and resources made available through the Roost Strategies membership, our Whop platform, our Discord community known as The Flock, our email communications, and rooststrategies.com (collectively, the “Licensed Materials”).

BY PURCHASING A MEMBERSHIP, ACCESSING THE COMMUNITY, OR USING ANY LICENSED MATERIALS, YOU AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE LICENSED MATERIALS.

This EULA should be read together with our Terms of Service, Privacy Policy, and Return Policy, all of which are incorporated by reference.

1. Ownership of Licensed Materials

All content created by or on behalf of Byrd Coaching LLC and made available through the membership is the exclusive intellectual property of Byrd Coaching LLC and is protected under United States copyright, trademark, and intellectual property law. The Licensed Materials include, without limitation:

The educational video library, lessons, modules, and slides
Trade alerts, in any format and through any channel
Live session, coaching session, and Q&A recordings, and any archived video or audio
Model portfolios, entry logs, research reports, and written guides and frameworks
The curriculum, frameworks, methods, and teaching approaches developed by Will Byrd and Scott Byrd, as described in Section 4
Downloadable resources, spreadsheets, trackers, templates, and tools
Community announcements and any other materials created or compiled by Licensor
The Roost Strategies name, logo, falcon mark, and related branding

Your membership does not transfer any ownership rights in the Licensed Materials to you. All rights not expressly granted in this Agreement are reserved by Licensor.

2. License Grant

As long as you comply with this Agreement and keep an active membership, Licensor grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to:

Access and view the Licensed Materials for your own personal, non-commercial use
Apply what you learn to your own personal investing and financial decisions
Take private notes for your own personal use

This license is personal to you. It does not extend to any other person, entity, or use.

3. Prohibited Uses

The following are prohibited without Licensor’s prior written consent.

3.1 Recording and Capture

Recording, screen-capturing, screenshotting, or otherwise copying any live session, recording, lesson, trade alert, or other Licensed Material for any purpose other than your own private notes
Using any bot, scraper, automation, or software to capture or extract Licensed Materials

Sharing, forwarding, posting, or transmitting any Licensed Materials, including trade alerts, to any person, group chat, server, or platform outside the membership
Sharing your login credentials or giving anyone else access to your account
Reproducing Licensed Materials on social media, websites, newsletters, podcasts, or any other medium

3.3 Commercial Use

Selling, licensing, or otherwise commercializing any Licensed Materials or works based on them
Using Licensed Materials, including trade alerts, as the basis for any paid or free signal service, course, coaching program, newsletter, or educational product
Presenting any Licensed Materials as your own original work

3.4 Competitive Use

Using Licensed Materials to build, inform, or support any product, service, or community that competes with Roost Strategies
Sharing our curriculum, frameworks, or materials with any competing service or individual in the investing or trading education space

4. Proprietary Curriculum and Methods

The Wheel strategy curriculum developed and taught by Will Byrd, and the Growth strategy frameworks, market interpretation approaches, and coaching methods developed and taught by Scott Byrd, reflect years of trading, institutional, and coaching experience and are core assets of Licensor.

Nothing in this Agreement claims ownership of general, publicly known investing concepts, such as cash-secured puts, covered calls, or the Wheel strategy as a general idea. What is protected is our specific curriculum, lessons, materials, frameworks, examples, presentation, and content.

Members may not:

Teach, present, or reproduce our curriculum, lessons, or frameworks in any format to any audience outside the membership
Incorporate our materials into any paid or unpaid educational content, coaching, or advisory service
Attribute our curriculum or frameworks to yourself or anyone else

5. Downloadable Resources and Spreadsheets

Spreadsheets, trackers, templates, and other downloadable tools are licensed for your personal use only. You may not share, distribute, or publish them; modify and redistribute them under your own name or brand; or use them as the basis for a product or tool offered to others, whether free or paid. These resources remain the property of Licensor.

6. Member-Generated Content

Content you post in the Community (messages, questions, comments, and responses) remains your property. By posting it, you grant Licensor a non-exclusive, royalty-free license to use, display, and reproduce that content within the Community and in Licensor’s marketing materials. You are responsible for making sure your content does not infringe on anyone else’s rights and complies with Community rules and applicable law.

7. Enforcement and Remedies

Licensor takes intellectual property violations seriously. Unauthorized use of Licensed Materials may result in one or more of the following, at Licensor’s sole discretion:

Immediate suspension or permanent termination of your membership without refund
A formal cease and desist demand
A claim for monetary damages, including actual damages, lost profits, and statutory damages under applicable copyright law
Injunctive relief to stop ongoing or future unauthorized use
Any other legal or equitable remedy available under applicable law

Licensor will evaluate each violation individually. Listing these remedies does not obligate Licensor to take any specific action in any specific case.

You acknowledge that unauthorized use of Licensed Materials would cause irreparable harm to Licensor for which money damages alone may be insufficient, and that Licensor may seek equitable relief without posting bond.

8. Term and Termination

This Agreement takes effect when you first access any Licensed Materials and remains in effect for the duration of your membership. It terminates automatically when your membership is cancelled or ends, and your license to access and use Licensed Materials ends at that time.

The following sections survive termination: Section 1 (Ownership), Section 3 (Prohibited Uses), Section 4 (Proprietary Curriculum and Methods), Section 5 (Downloadable Resources), Section 7 (Enforcement and Remedies), Section 9 (Disclaimer), Section 10 (Limitation of Liability), and Section 11 (Governing Law).

9. Disclaimer of Warranties

ALL LICENSED MATERIALS ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. BYRD COACHING LLC MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE ACCURACY, COMPLETENESS, OR FITNESS FOR A PARTICULAR PURPOSE OF THE LICENSED MATERIALS, OR THE RESULTS THAT MAY BE ACHIEVED FROM USING THEM.

Nothing in the Licensed Materials is financial, investment, legal, or tax advice. All investment decisions are made at your own risk. Past performance is not indicative of future results.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BYRD COACHING LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE LICENSED MATERIALS, INCLUDING ANY FINANCIAL LOSSES FROM TRADING OR INVESTMENT DECISIONS.

Licensor’s total liability under this Agreement shall not exceed the membership fees you paid to Byrd Coaching LLC in the three (3) months before the claim.

11. Governing Law

This Agreement is governed by the laws of the State of South Carolina, without regard to its conflict-of-law rules. Disputes are subject to the dispute resolution terms in our Terms of Service.

12. Entire Agreement

This EULA, together with our Terms of Service, Privacy Policy, and Return Policy, is the entire agreement between you and Licensor regarding the Licensed Materials, and replaces any prior agreements on the same subject. If any provision is found unenforceable, the remaining provisions stay in full effect.
